Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Fluencer mobile application and the website at fluencerworld.ae (together, the "Platform"), operated by Fluencer ("Fluencer", "we", "us" or "our") from Dubai, United Arab Emirates. Fluencer is an influencer-marketing platform that connects brands and companies with social-media influencers and the media houses and agencies that manage them.

1. Acceptance of the Terms

By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform. If you use the Platform on behalf of a company or organisation, you confirm that you are authorised to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using Fluencer you represent that you meet these requirements and that all information you provide is accurate and current.

3. Accounts and Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate registration and profile information and keep it up to date.
  • You may not impersonate others, create accounts using false information, or share your account without authorisation.
  • Notify us promptly at info@fluencerworld.ae of any unauthorised use of your account.

4. Description of the Service

The Platform allows influencers to create profiles, connect social-media accounts and display statistics; allows brands and agencies to discover influencers and publish posts and campaigns; allows influencers to apply to those posts and campaigns; provides in-app chat between users; and offers a wallet to manage balances and payments. Fluencer provides the technology and marketplace that connect users; collaborations are agreed between the users themselves.

5. Roles and Obligations

  • Influencers are responsible for the accuracy of their profiles and statistics, for delivering agreed deliverables, and for complying with the disclosure and advertising rules of the relevant social platforms and the UAE.
  • Brands and companies are responsible for the campaigns and posts they publish, for providing clear briefs, and for paying agreed amounts.
  • Media houses and agencies are responsible for the influencers and accounts they manage and must have authority to act on their behalf.

6. Posts, Campaigns and Applications

Brands and agencies may publish posts and campaigns describing the collaboration, requirements and compensation. Influencers may apply to these. Acceptance of an application creates an agreement directly between the relevant users. Fluencer is not a party to that agreement and is not responsible for the conduct, performance or content of any user, although we may provide tools to facilitate and record collaborations.

7. Payments, Wallet, Fees and Refunds

  • All amounts on the Platform are stated in UAE Dirhams (AED) unless otherwise specified.
  • The Platform may offer a wallet through which users fund, hold and receive payments. Wallet balances are not bank deposits and do not earn interest.
  • Fluencer may charge service fees or commissions, which will be disclosed before a transaction is completed.
  • Payments are processed by third-party payment providers; by transacting you accept their terms.
  • Refunds and payouts are handled according to the arrangement between the users and any applicable Platform rules. Service fees are generally non-refundable once a service has been provided, except where required by law.
  • You are responsible for any taxes applicable to your earnings or payments.

8. Content Ownership and Licence

You retain ownership of the content you submit to the Platform. By submitting content, you grant Fluencer a non-exclusive, worldwide, royalty-free licence to host, store, display and use that content as needed to operate and promote the Platform. You represent that you have the rights necessary to grant this licence and that your content does not infringe any third-party rights.

9. Acceptable Use and Prohibited Conduct

You agree not to:

  • Violate any law or the rules of the connected social-media platforms.
  • Post false, misleading, fraudulent or fake statistics, followers or engagement.
  • Harass, abuse, threaten or defame other users.
  • Upload content that is unlawful, obscene, hateful, infringing or otherwise objectionable.
  • Bypass the Platform to avoid fees, or use it for money laundering or other illicit purposes.
  • Attempt to hack, disrupt, reverse-engineer or overload the Platform, or use bots or scrapers without permission.

10. Intellectual Property

The Platform, including its software, design, logos, trademarks and content (excluding user content), is owned by Fluencer or its licensors and is protected by intellectual-property laws. You may not copy, modify, distribute or create derivative works from it without our prior written consent.

11. Third-Party Platforms and Services

The Platform integrates with third-party services such as social-media networks and payment processors. We do not control these services and are not responsible for their availability, content or actions. Your use of them is subject to their own terms.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free or secure, or that any collaboration arranged through it will achieve any particular result. Fluencer does not guarantee the conduct, identity, statistics or performance of any user.

13. Limitation of Liability

To the maximum extent permitted by law, Fluencer and its officers, employees and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Platform. Our total liability for any claim shall not exceed the amount of fees you paid to Fluencer in the three months preceding the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Fluencer from any claims, damages, losses and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your collaborations with other users, or your breach of these Terms or any law.

15. Suspension and Termination

We may suspend or terminate your account, with or without notice, if you breach these Terms, create risk or legal exposure, or engage in fraudulent or harmful activity. You may stop using the Platform and close your account at any time. Provisions that by their nature should survive termination will continue to apply.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, without prejudice to any mandatory consumer-protection rights.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms in the app and on our website and update the effective date. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
